ScanStandy operates as:

• A White-Label Software Platform
• A Reseller & Commission-Based Sales System
• A provider of QR, NFC, Digital Business Cards & AI-powered services

2. Eligibility

You must be at least 18 years old and legally capable of entering into this agreement.

3. Account Registration

You are responsible for maintaining the confidentiality of your account. You agree to provide accurate and current information. We reserve the right to suspend or terminate accounts for misuse or false information.

4. Platform Usage Rules

You agree to use the Services only for lawful purposes and shall not:

• Violate any laws or regulations
• Upload harmful, misleading, or illegal content
• Attempt to breach platform security
• Reverse engineer or copy the platform

5. White-Label Partner Terms

• Platform Ownership All software and infrastructure remain the exclusive property of Smarty Digital. You receive a limited, non-transferable license to brand and sell services.
• Your Responsibilities You are responsible for your customers, pricing, marketing, compliance, and customer support.
• Customer Data You control your customer relationships. ScanStandy acts only as a technology provider.
• Restrictions You may not copy, resell the platform itself, reverse engineer, or misrepresent ownership.
• Termination Violation may result in immediate suspension without refund.

6. Reseller Terms

• Independent Contractor You act as an independent sales partner, not an employee or agent.
• Commissions Commission structures may change. Payouts occur after successful customer payments.
• Sales Conduct Resellers must follow ethical marketing and truthful representations.
• Customer Relationship All customers remain users of the ScanStandy platform.
• Termination Accounts may be terminated for misconduct.

7. Payments & Billing

All payments are processed through secure third-party gateways. Fees are non-refundable.

8. AI-Powered Services

Certain features use artificial intelligence. AI-generated outputs are provided "as-is" and must be reviewed by users.

9. Intellectual Property

All technology, trademarks, software, and content remain the intellectual property of Smarty Digital.

10. Data & Privacy

Use of Services is governed by our Privacy Policy.

11. Service Availability

We do not guarantee uninterrupted service. We may modify or discontinue services at any time.

12. Limitation of Liability

End Customer Responsibility & Limitation of Liability

ScanStandy and Smarty Digital act solely as a technology service provider.

We are not responsible for any loss, damage, refund, compensation, claim, dispute, chargeback, or liability arising between any reseller, white-label partner, and their end customers.

All commercial transactions, service commitments, pricing, representations, warranties, and after-sales responsibilities toward end customers are the sole responsibility of the respective reseller or white-label partner.

ScanStandy and Smarty Digital are not liable for any loss, damage, refund, claim, dispute, or compensation involving the end customers of any reseller or white-label partner.

13. Termination

We may suspend or terminate access without notice for violations of these Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Jurisdiction shall lie exclusively with the courts of Pune, Maharashtra.

15. Changes to Terms

We may revise these Terms at any time. Continued use constitutes acceptance.
